Terms of Service.

1. Purpose and acceptance

These Terms of Service ("Terms") govern access to and use of the betool platform and related services (the "Service"), operated by betool. They apply to every user and client organization.

By creating an account, accessing or using the Service, you acknowledge that you have read, understood and accepted these Terms. If you act on behalf of an organization, you represent that you are authorized to bind it.

2. Definitions

"Organization": the client entity with an isolated space (tenant) on the platform. "User": any individual accessing the Service within an Organization. "Content": the data, files, messages and configurations you import or generate through the Service.

"Integration": a connection to a third-party service (e.g. Google, Stripe, Slack, Jira). "Credits": the usage-based billing unit described in our pricing.

3. Description of the service

betool is a platform for orchestrating AI-driven processes: connecting inputs (email, telephony, chat, webhooks, messaging…), designing pipelines (AI agents, operators, conditions) and integrating third-party services.

The Service is provided as SaaS. We may evolve it and add or remove features, provided we do not substantially degrade the essential subscribed functions.

4. Account, eligibility and security

You must provide accurate information and keep it up to date. You are responsible for keeping your credentials confidential and for all activity carried out from your account.

The Service is intended for professional use by adults. You agree to notify us without delay of any unauthorized access.

5. Acceptable use

You must not, in particular: use the Service for unlawful purposes; infringe third-party rights; attempt to circumvent security measures or multi-tenant isolation; overload the infrastructure; or use the Service to send unsolicited communications in violation of applicable law.

You are solely responsible for the lawfulness of the Content you process and the processing you configure, including compliance with the sector regulations applicable to you.

6. Third-party services and customer-provided keys (BYOK)

The Service lets you connect third-party services. Their use is subject to their own terms; we are not responsible for them. You are responsible for the authorizations you grant and their revocation.

For AI models, betool favors the "BYOK" (Bring Your Own Key) model: you provide your own provider keys. Calls are made to the provider you designate, under its terms.

7. Intellectual property

The platform, its software, trademarks and graphic elements remain the exclusive property of betool. Nothing herein grants you ownership of the Service.

You retain all rights to your Content. You grant us a limited license strictly necessary to operate the Service on your behalf.

8. Personal data

The processing of personal data is described in our Privacy Policy, available at /privacy, which forms an integral part of these Terms.

Where we process data on your behalf as a processor, a Data Processing Agreement (DPA) may be entered into on request.

9. Pricing, credits and billing

The Service is billed as set out on the Pricing page and/or your contract. Consumption is measured in credits. Amounts due are payable on the agreed schedule.

Unless mandatory law provides otherwise, consumed credits are non-refundable. Any payment default may lead to suspension.

10. Availability and support

We use reasonable efforts to keep the Service available. Interruptions may occur for maintenance, updates or causes beyond our control.

Any service levels (SLA) and support are specified in your contract or applicable plan.

11. Warranties and liability

The Service is provided "as is". To the extent permitted by law, our liability is limited to direct and foreseeable damages and capped at the amounts paid for the Service during the twelve months preceding the triggering event.

We are not liable for decisions made on the basis of outputs produced by AI models: you are responsible for implementing appropriate human and deterministic controls.

12. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate access in the event of a serious breach of these Terms, a security risk or a legal obligation.

Upon termination, you may request the export and then deletion of your Content, under the conditions of the Privacy Policy.

13. Changes to the Terms

We may amend these Terms to reflect legal, technical or functional changes. Material changes will be notified to you. Continued use constitutes acceptance.

14. Governing law and disputes

These Terms are governed by French law. Absent an amicable resolution, the competent courts of the operator's registered office shall have jurisdiction, subject to mandatory protective rules.
